2. Materials Declaration Requirements

3.7.1 Kin Yat will comply with all Materials Declaration requirements for all third party suppliers who provide components to the Manufacturing Services. Kin Yat shall obtain, keep, and be able to access for inspection at all times documents attesting that all third party suppliers and their Components are in conformity with the applicable Material Declaration Requirements. Kin Yat is solely responsible for the accuracy and completeness of such verification.

4.2.1 Kin Yat will only use components and materials that have been approved by irobot robot vacuums to be used in the Manufacturing Services, including any modifications to engineering or changes. Kin Yat is responsible for collecting and retaining all documentation that proves compliance by its suppliers from third parties with the Material Declaration Requirements.

4.2.2 Kin Yat shall monitor and report monthly to iRobot the percent of Purchase Orders delivered on time, based on the definition of On-time used by iRobot which includes delivering all materials, parts and items ordered by iRobot within the Lead Time, plus any deadlines for shipping specified in the relevant Specifications for Products. Kin Yat shall also maintain records and documentation of all Supplier Quality Assurance activities, testing and evaluations.
