4.2.1 Kin Yat shall use only components and materials approved by iRobot for the Manufacturing Services in accordance with the Specifications, including any specifications, engineering changes or amendments thereto. Kin Yat shall be responsible for collecting, retaining and ensuring that it is readily available for inspection by iRobot or its designee all documents indicating that all of its third suppliers are in compliance with the applicable Material Declaration Requirements.

4.2.2 Kin Yat shall monitor and annually report to iRobot the percentage of Purchase Orders delivered On-time, based on the definition of On-time by iRobot, which includes delivering all materials, parts and items ordered by iRobot within the Lead Time and any shipping dates that are required as specified in the relevant Specifications for Products. Kin Yat must also maintain the records of all Supplier Quality Assurance testing and evaluations.
